Terms of Service

This is the agreement between Ridgecap and the company using its products. It is written to be read. If a clause here is doing something sneaky, that is a mistake and we want to hear about it.

1Who You Are Agreeing With

These terms are between Ridgecap, LLC, a Georgia limited liability company ("Ridgecap", "we", "us"), and the business that creates an account or uses our products ("you"). If you are agreeing on behalf of a company, you are confirming you are allowed to bind that company.

2What Ridgecap Is

Ridgecap builds narrow tools for construction work that sits outside a project management system. Today that means Closeout, with Roster in testing. Each product does one job and is not a replacement for your project management system, your accounting system, or your contract documents.

3Early Access

Ridgecap products are early. Being honest about what that means:

  • Features can change, and some will be removed if they turn out to be wrong.
  • There is no uptime guarantee yet. We will not pretend otherwise.
  • Bugs will happen. Tell us and we will fix them.
  • Free trial access can end, though we will give you reasonable notice and you can always export first.

Do not use an early-access product as the only copy of something you cannot lose. Keep your own records the way you would with any new system.

4Your Account

Keep your credentials to yourself, make sure the people you invite should have access, and tell us promptly if you think an account has been compromised. What happens under your account is your responsibility.

Closeout works by sending subcontractors a private upload link that needs no account and no password. Those links are the key — anyone holding one can upload to that requirement. Send them to the right people, and treat them like you would a door code.

6Your Data Stays Yours

You own everything you put in. We do not claim it, we do not sell it, and we do not use your project documents to train anything. We hold a licence to your content only so far as it takes to actually run the service for you — storing it, displaying it back to you, and sending it where you tell us.

Two commitments we consider part of the product, not favours:

  • The original document is never destroyed. Whatever a subcontractor sends arrives and stays exactly as it was. We add structure around a file; we do not edit or replace it.
  • Your data exports whole, in one piece, whenever you ask.

7What You Agree Not to Do

  • Break the law with it, or use it to help someone else do so.
  • Upload malware, or deliberately try to break, overload, or probe the service.
  • Try to access another company's data.
  • Resell or white-label the service without a written agreement with us.

8Pricing

Paid plans are not published yet. If and when Ridgecap starts charging, we will tell existing accounts before it applies to them, and nothing you have already put in becomes hostage to a bill — export stays available.

9Ending It

You can stop using Ridgecap and close your account at any time, and we will delete your data when you ask. We may suspend or close an account that breaks section 7 or that we are legally required to act on. If we close your account without you being at fault, we will give you a reasonable chance to export first.

10No Warranty

The service is provided "as is". We do not warrant that it will be uninterrupted, error-free, or fit for a particular purpose. Ridgecap is a tool that helps you organise a closeout package or an arrival log; it is not a guarantee that your package is complete, that your contract obligations are met, or that anyone was actually on site. Those remain your judgement calls.

11Limitation of Liability

To the maximum extent the law allows, Ridgecap is not liable for indirect, incidental, or consequential damages, including lost profits, lost data, or project delay costs. Our total liability for any claim is capped at the greater of what you paid us in the twelve months before the claim, or US$100.

12Changes to These Terms

We may update these terms. If a change materially affects your rights we will notify account holders rather than quietly editing this page, and the date at the top will change.

13Governing Law

These terms are governed by the laws of the State of Georgia, without regard to its conflict of law rules, and any dispute will be brought in the state or federal courts located in Georgia.
